Terms & Conditions of Use

These Terms and Conditions of Use (“Terms”) are entered into between you and GiddyUp LLC (“Company”, “we”, “us”, or “our”) doing business as Giddyapp (“Company”, “we”, “us”, or “our”) and govern your access and use of the Giddyapp mobile application (the “App” or “Platform”), website, and related services (collectively, the “Platform”).

By accessing or using the Platform on any mobile device, desktop, or other device (“Device”), creating an account, or otherwise using Giddyapp in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms. These Terms constitute a legally binding agreement between you and GiddyUp LLC.

Subject to your compliance with these Terms, GiddyUp LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purposes. We reserve the right, in our sole discretion, to suspend or terminate access to the Platform at any time, for any reason or no reason, including for violations of these Terms.

By downloading and using Giddyapp, you agree to all Terms And Conditions of Use.

1. About Giddyapp

Giddyapp is a community-driven equestrian platform designed to help users (“Users” or “you” or “Providers”) discover, ride, share, and connect through horse-related experiences, services, businesses,  opportunities, and activities. While users may coordinate transportation, services, or activities through the Platform, Giddyapp does not provide, manage, or control these services.

2. Platform Role

Giddyapp functions solely as a platform to facilitate connections between Users and/ or Providers. We do not employ, manage, or control any User connections or the services they may offer.

Giddyapp is not:

  • A transportation provider, carrier, or broker

  • A disease control center

  • A stable, barn, or equine facility

  • A trainer or service provider

  • A veterinary or medical provider

We solely provide a platform for users to connect.

3. User Accounts

Giddyapp is designed to serve a diverse equestrian community. Users of the Platform (“Users,” “you,” or “Providers”) may include and evolve over time, but are not limited to:

  • Riders seeking connections, experiences, or equestrian-related opportunities

  • Horse owners arranging care, sharing, travel, or general horse-related activities

  • Equestrian businesses, including but not limited to, barns, trainers, boarding facilities, lesson programs, and service providers

  • Specialized service providers, including but not limited to veterinarians, farriers, therapists, photographers, and other equine professionals

  • Nonprofit organizations, rescues, and community groups operating within the equestrian space

  • Truck and trailer owners or operators who may offer transportation services

  • Individuals seeking or offering equestrian-related services, experiences, or support

To access the Platform, you will be required to create an account. You agree to:

  • Provide accurate, current, and complete information

  • Be at least 18 years of age

  • Maintain and promptly update your account information

  • Keep your login credentials secure and confidential, and/or set up multi-factor authentication

You are solely responsible for all activity that occurs under your account. If you believe your account has been compromised, you must notify us immediately at hello@getgiddy.app. GiddyUp LLC is not liable for any loss or damage arising from unauthorized use of your account, or any un-reported behaviors that arise via interactions online or in person.

You acknowledge that your use of the App is at Company’s sole discretion and your license to use the App may be terminated by Company at any time, for any reason or for no reason. Company reserves the right, in its sole discretion, to refuse service, to block or prevent future access to and use of the App, to terminate any user’s account, where applicable, and to alter or delete any material submitted to the App through the user’s account, where applicable. Following termination of this license, these terms shall apply to the extent practicable.

4. User Responsibilities

You agree to:

  • Use the Platform lawfully

  • Read through the entirety of our Terms/Policies/Waivers

  • Exercise sound judgment when interacting with others

  • Assume full responsibility for your actions and decisions

  • Report any suspicious activity or behavior

  • Collect and verify all information independently of the App

  • Properly vaccinate, quarantine, and stay informed on disease outbreaks

  • Comply with guidance from the Department of Transportation and applicable motor carrier authorities

Furthermore:

You agree to our Waiver, Release, Indemnification and Hold Harmless Agreement Waiver Policy: Waiver Policy.

You confirm and acknowledge that you have read our Privacy Policy, which is available here: Privacy Policy.

Our Privacy Policy and Waiver are hereby fully incorporated herein by reference into these Terms and Conditions of Use. By using the App, you consent to the processing of your “Personal Information” through the App as described therein.

5. User Verification

Giddyapp may, at its sole discretion, conduct limited verification of certain business accounts, organizations, or Providers on the Platform in an effort to promote user safety, increase transparency, and reduce fraudulent or misleading listings.

Such verification may include review of publicly available information, submitted documentation, or other identifying details. However, verification by Giddyapp:

  • Is limited in scope and may not be comprehensive

  • May be subject to human error, omission, or outdated information

  • Does not guarantee legitimacy, safety, quality, or compliance. 

  • Does not constitute endorsement, certification, or approval by the Company

Except where explicitly stated, Giddyapp does not conduct background checks, comprehensive identity verification, credential verification, or screening of Users or Providers.

We do not guarantee or verify:

  • Identity of individual Users

  • Experience level or qualifications

  • Licenses or certifications

  • Insurance coverage

  • Criminal history

  • Horse health, training, temperament, or behavior

  • Safety practices, facilities, or equipment

Any representations, profiles, listings, or content provided by Users or Providers are self-reported and have not been fully verified by the Company.

You acknowledge and agree that you are solely responsible for conducting your own due diligence before engaging in any interaction, service, or activity. This includes, but is not limited to:

  • Verifying identity, credentials, and experience

  • Inspecting facilities and equipment

  • Evaluating horse health, behavior, and suitability

  • Confirming insurance coverage and safety standards

  • Assessing the appropriateness of any activity or environment

GiddyUp LLC does not assume responsibility for the accuracy of any information provided on the Platform or for the conduct of any User or Provider, regardless of verification status.

Use of the Platform, and any reliance on information or verification indicators provided therein, is entirely at your own risk.

6. Equestrian Businesses, Services, and Independent Providers

Giddyapp may be used by equestrian businesses, service providers, facilities, trainers, and other professionals (“Providers”) to connect with users.

Giddyapp does not employ, endorse, certify, or control any Providers listed on the Platform. All Providers operate independently.

Independent Responsibility

Providers are solely responsible for:

  • Maintaining their own terms, liability waivers, and policies

  • Carrying appropriate insurances

  • Complying with all laws and regulations

  • Ensuring safety standards for their services, facilities, and horses

Assumption of Liability by Providers

Once a User engages with a Provider, the Provider assumes full responsibility and liability for their services and operations.

Giddyapp is not a party to any agreement between users and Providers and is not liable for:

  • Injuries, incidents or loss of life at facilities (horse or human)

  • Horse handling, training, or care

  • Supervision or safety of activities

  • Property damage

User Responsibility

Users connected to said Providers via Giddyapp are responsible for reviewing and agreeing to Provider waivers and policies, and conducting their own due diligence.

7. Safety & User Conduct Expectations

Giddyapp does not supervise or control real-world interactions.

This includes:

  • Riding together

  • Visiting barns or facilities

  • Leasing or sharing horses

  • Participating in events or clinics

All interactions are at your own risk. Giddyapp is not liable for any injury, loss, damage, or dispute arising from these interactions. Giddyapp encourages all Users to prioritize safety when interacting with others both online and offline.

Users agree to:

  • Meet in safe, public, and appropriate environments when possible

  • Use caution when transporting animals or equipment

  • Verify the identity and credentials of other Users

  • Report unsafe, suspicious, or inappropriate behavior through available reporting channels

GiddyUp LLC reserves the right, but not the obligation, to investigate reports of misconduct and take appropriate action, including suspension or removal of accounts.

While we strive to foster a safe community, we do not guarantee the behavior, actions, or reliability of any User or Provider.

8. Equine Health and Disease Risk

Equestrian activities involve inherent risks, including disease transmission. Horses may carry or be exposed to infectious diseases. Giddyapp does not verify or monitor horse health. Giddyapp offers tools and resources via public information for Users to stay informed on current health statuses so they can make their own informed decisions. We advocate for full transparency of horses' current vaccination and health status, and to be responsible and limit the spread if there is any knowledge of said illness.

Users are responsible for:

  • Providing up to date records to Providers and Users

  • Evaluating horse health and vaccination status

  • Staying vigilant on current health outbreaks and suggestions

  • Practicing proper biosecurity and cleanliness measures

  • Managing exposure risks, & taking proper quarantine measures

Giddyapp is not liable for any illness, injury, loss or future outbreaks related to equine disease. For all public resources, please visit the Department of Agriculture.

9. Parental Responsibility and Minors

The Platform is intended for use by individuals eighteen (18) years of age or older. Minors may not create accounts or use the Platform independently. If a parent or legal guardian wishes to create and manage an account to facilitate appropriate connections, they may do so under their own personal account and supervision.

The parent or legal guardian is solely responsible for:

  • Maintaining accurate and current personal information about themselves

  • All activity conducted by or on behalf of the minor

  • Supervising all interactions, both online and offline

  • Ensuring the minor’s safety when engaging in equestrian activities

  • Reviewing and agreeing to all applicable waivers, terms, policies, and risks

  • Determining the suitability of any interactions, services, Providers, or environments

GiddyUp LLC does not monitor, verify, or supervise minor participation, interactions, or activities on or off the Platform and assumes no responsibility or liability for any harm, injury, damages, or disputes involving minors.

By allowing a minor to access or use the Platform through a parent or legal guardian account, you acknowledge and agree that the parent or legal guardian assumes full legal responsibility and liability for the minor’s use of the Platform and any resulting interactions or activities.

10. Transportation & FMCSA Compliance

Giddyapp is not a transportation provider. Users offering transportation must:

  • Maintain required licenses and endorsements

  • Carry appropriate insurance

  • Comply with all applicable laws, including FMCSA regulations where applicable

  • Understand the difference between private and for-hire transport

Giddyapp does not verify compliance and is not liable for transportation-related issues, accidents or losses. For compliance information please visit the applicable Department of Transportation and Motor Carrier.

11. User-Generated Content

Giddyapp allows Users to upload content (“UGC”) for usage on Giddyapp’s digital platforms and physical marketing such as banners and ads.

Ownership

You retain ownership, but grant Giddyapp a license to use your content.

Responsibility

You are responsible for your content and must ensure it is accurate and lawful.

Prohibited Content

Includes:

  • Misrepresentation of horses or services

  • Unsafe or harmful content

  • Illegal or abusive material

No Verification

Giddyapp does not verify or endorse any content.

Removal

We may remove content at our discretion.

12. No Financial Transactions

Giddyapp does not process or facilitate payments between Users and/or Providers at this time. The App was designed to connect Users to independently make their own connections whether that be but not limited to ridesharing, transportation, services and activities. Neither the App nor the Company processes or otherwise supports any payments, financial transactions, or any other exchange of consideration between Users, including those relating to any independently made transportation arrangements.

13. Assumption of Risk

You acknowledge risks including:

  • Animal unpredictability

  • Riding injuries or loss of life

  • Environmental hazards

  • Equine Disease

  • Damage to property

You assume all risks associated with using the Platform.

14. Disclaimer of Liability

The Platform is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied.

Giddyapp is not liable for, including but not limited to:

  • In-person meet-ups or online interactions between Users

  • Injuries, abductions, accidents, or loss of life

  • Spread of equine disease or illness

  • Animal-related incidents, including unpredictable horse behavior

  • Property damage

  • Transportation arrangements or issues

  • User disputes or disagreements

  • Theft, loss, or damage of personal property

By using the App, you acknowledge and agree that the Company solely provides a platform to facilitate connections between Users, including, but not limited to, riders, horse owners, service providers, and truck and trailer operators, for the purpose of arranging transportation and equestrian-related services.

Giddyapp may, at its sole discretion, perform limited verification of certain business accounts or Providers on the Platform. However, such verification:

  • Is not a guarantee of safety, quality, legality, or reliability

  • May be incomplete, outdated, or subject to error

  • Does not constitute endorsement, certification, or supervision

Except as expressly stated, we do not verify or guarantee:

  • The identity of individual Users

  • Qualifications, experience, or certifications

  • Background or criminal history

  • Insurance coverage

  • Safety practices or standards

We do not supervise, control, or assume responsibility for any interactions, communications, meetings, services, or transportation arrangements made through the Platform.

Any arrangements, interactions, or activities conducted between Users—whether online or offline—are done entirely at your own risk. You assume full responsibility for all decisions, actions, and outcomes arising from your use of the Platform.

You are solely responsible for taking appropriate precautions when interacting with other Users, including but not limited to:

  • Meeting in safe and appropriate environments

  • Verifying identity, credentials, and qualifications

  • Evaluating horse health, behavior, and suitability

  • Confirming proper insurance, equipment, and safety measures

  • Exercising sound judgment at all times

To the fullest extent permitted by law, GiddyUp LLC and its affiliates, officers, employees, agents, and representatives shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to:

  • Personal injury or death

  • Emotional distress

  • Loss of profits or business opportunities

  • Loss of data

  • Property damage

arising out of or in any way related to:

  • Your use of the Platform

  • Interactions with other Users or Providers

  • Transportation arrangements

  • Animal handling, care, or behavior

  • Any services or activities arranged through the Platform

In no event shall the total liability of GiddyUp LLC exceed one hundred U.S. dollars ($100.00), or the total amount you have paid to the Company, if any, within the past twelve (12) months, whichever is greater.

This limitation applies regardless of the legal theory under which the claim arises, including contract, tort, negligence, strict liability, or otherwise, and even if the Company has been advised of the possibility of such damages.

By continuing to use the App, you acknowledge that you have read, understood, and agree to this Disclaimer of Liability.

You further agree to defend, indemnify, and hold harmless GiddyUp LLC and its affiliates, and their respective directors, members, officers, employees, and agents from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use of the Platform

  • Your interactions with other Users or Providers

  • Your violation of these Terms

  • Your infringement of any rights of another party

  • Any activities arranged through or connected to the Platform

15. Dispute Resolution & Arbitration

By using the Platform, you agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or any interactions facilitated through the Platform shall be resolved through binding arbitration, rather than in court, except where prohibited by law.

Arbitration shall be conducted in the State of Wisconsin in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action lawsuit or class-wide arbitration.

Any claim must be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

Notwithstanding the foregoing, Company reserves the right to seek injunctive or equitable relief in a court of competent jurisdiction for matters related to intellectual property or unauthorized use of the Platform.

16. Indemnification

You agree to indemnify Giddyapp against claims arising from:

  • Your use of the Platform

  • Your interactions with others

17. Termination

We may suspend or terminate accounts at any time.

18. Modifications and interruptions to service

We may update these Terms at any time. Company may also update the App automatically on your Device once a new version or feature is available. You may also choose to adjust your automatic update settings.

Company shall not be liable to a visitor or any third party should Company exercise its right to modify or discontinue any service on the App. Each User acknowledges and accepts that Company does not guarantee continuous, uninterrupted or secure access to the App and operation of the App may be interfered with or adversely affected by numerous factors or circumstances outside of our operation or control. The Platform may be unavailable at any time without notice.

19. Governing Law

These Terms are governed by the laws of the United States and the State of Wisconsin.

By using the App, you agree that your use of the App and all your activities arranged through or relating to the App will comply with applicable local, state, federal laws, rules, and regulations, including but not limited to those related to transportation, animal welfare, safety, licensing, insurance, and data protection, as well as all recognized industry standards and best practices related to care, handling, and transportation of animals and the maintenance and operation of

vehicles and transportation equipment. Company reserves the right to suspend or terminate access to the App for any User found to be in violation of these obligations.
